Terms and conditions for commercial photography

These terms apply to commercial photography commissioned from Jean-Philippe Baudey, trading as Faydit Photography.
They apply to clients commissioning photography for business, commercial, professional or organisational purposes. Private consumer commissions may require separate booking terms.
The quotation, booking confirmation and any agreed image licence contain the specific details of each assignment. Where those written details differ from these standard terms, the assignment-specific agreement takes priority.
Booking
A booking is confirmed when the client accepts the quotation or assignment in writing and Faydit Photography confirms the booking.
A date discussed or provisionally held is not a confirmed booking and may be offered to another client until confirmation has been given.
Where a deposit or booking payment is requested, the booking is not confirmed until it has been received. Any deposit paid forms part of the total agreed fee.
A person booking on behalf of another business or organisation remains responsible for the booking, payment and use of the images unless Faydit Photography agrees otherwise in writing.
Fees and expenses
The agreed photography fee covers the work, time and image use described in the quotation or booking confirmation.
Additional photography, substantial changes to the brief, extra retouching or other work requested outside the agreed assignment may be charged separately.
Agreed expenses may include travel, accommodation, parking, couriers, assistants, specialist equipment, ingredients, props and materials purchased for the assignment.
Any significant additional expense will be discussed with the client before it is incurred whenever reasonably possible.
Client responsibilities
The client must provide an accurate brief and any essential shot list, reference material, brand guidance or delivery requirements before the assignment.
The client is responsible for ensuring that the location, products, food, staff and other subjects are available and reasonably prepared at the agreed time.
Where possible, the client should provide someone with authority to approve practical and creative decisions during the shoot.
Additional time caused by delayed access, unavailable subjects, changes to the brief or insufficient preparation may be charged at the agreed rate.
Unless otherwise agreed, the client is responsible for obtaining any permissions required from premises, employees, models, customers, owners of artwork, trademarks or other protected material involved in the assignment.
The client confirms that it has permission to provide any logos, designs, photographs, text or other material supplied to Faydit Photography for use in the work.
Cancellation
A confirmed assignment reserves time that will normally be unavailable to other clients. A one-day shoot may also require preparation and editing time before and after the photography date.
If the client cancels a confirmed assignment, Faydit Photography may charge:
More than 14 calendar days before the assignment: 25% of the agreed photography fee.
Between 8 and 14 calendar days before the assignment: 50% of the agreed photography fee.
Seven calendar days or fewer before the assignment: 100% of the agreed photography fee.
Committed expenses and non-refundable costs remain payable in addition to the cancellation charge.
Any deposit already paid will be credited against the cancellation charge and will not be charged twice. If the deposit exceeds the cancellation charge and expenses due, the remaining balance will be refunded.
Faydit Photography may reduce the cancellation charge where equivalent replacement work is secured for the same reserved period.
Postponement
Where a client postpones rather than cancels an assignment, Faydit Photography will normally waive the cancellation charge if the replacement shoot takes place within 15 calendar days of the original date, subject to availability.
This applies even when the postponement is requested at short notice.
A replacement date more than 15 calendar days after the original assignment may still be accepted without a cancellation charge at Faydit Photography’s discretion.
Expenses and non-refundable costs already incurred remain payable.
If no replacement date is agreed, the postponed assignment does not proceed, or the replacement date is postponed again, the original cancellation charge will normally remain payable.
Where work depends on suitable weather or external conditions, both parties may agree to postpone if continuing would prevent the agreed brief from being completed properly.
Image selection, editing and delivery
Faydit Photography will select and edit the images considered to be the strongest and most suitable from the assignment.
Unedited photographs, rejected frames and RAW files are not included unless specifically agreed in writing.
The approximate number of final images, delivery format and expected delivery time will be stated in the quotation, brief or booking correspondence.
The client should report any technical problem or significant failure to follow the agreed brief within seven calendar days of delivery.
Where appropriate, reasonable corrections will be made to bring the images into line with the agreed brief.
New instructions, substantial retouching or changes requested after the shoot may be charged separately.
Photography is a creative service. Images that are consistent with the agreed brief and Faydit Photography’s established style cannot be rejected solely because the client’s stylistic preference later changes.
Copyright and image licence
Copyright in the photographs remains with Jean-Philippe Baudey unless an assignment of copyright is separately agreed in writing.
The creator of a photograph is generally its first copyright owner unless a different arrangement applies or has been agreed.
The client receives permission to use the final images under the licence described in the quotation, booking confirmation or invoice.
The licence begins when the invoice has been paid in full unless earlier use has been expressly authorised in writing.
Unless the quotation states otherwise, the standard licence is non-exclusive, worldwide and unlimited in duration.
It allows the client to use the final images for its own business and for any brands, products, venues or services specifically covered by the assignment, including:
websites
social media
menus and printed material
packaging
advertising
public relations
press and editorial coverage
internal communications
The client may provide the images to agencies, designers, printers, publishers and other suppliers where they are working solely on the client’s behalf.
Press and media organisations may reproduce images supplied as part of legitimate editorial or public-relations coverage of the client.
Retailers, distributors and hospitality venues may use the images specifically to promote the client’s products or services. They may not use them for unrelated campaigns or grant the images to another party.
The licence does not automatically extend to separate group companies, franchisees, sponsors, suppliers or commercial partners unless their use is included in the written agreement.
The images may not be sold, entered into a stock library, relicensed, used as merchandise or transferred for use by another business without written agreement.
The images may not be used to train an artificial-intelligence model or to generate new commercial images without written agreement.
Normal cropping, resizing, placement of text and adaptation for different layouts are permitted.
Significant alteration, misleading manipulation or the creation of substantially new commercial imagery from the photographs requires prior agreement.
Any use outside the agreed licence must be discussed before publication and may require an additional fee.
Credits and portfolio use
For press, public-relations and editorial publication, the client should request the following credit where reasonably possible:

A credit is not normally required on the client’s own website, social media, menus, packaging or advertising unless specifically agreed.
Faydit Photography may use completed images for its website, portfolio, social media, awards, exhibitions, editorial coverage and business promotion after the client has made the project public.
The client must identify any confidentiality requirement, publication embargo or restriction on portfolio use before the assignment. Reasonable confidentiality requests will be respected.
Payment and release of files
Payment is due within 10 calendar days of receipt of the invoice unless a different arrangement has been agreed in writing.
Low-resolution previews or proofs may be provided for approval, but they may not be published or used commercially.
Final high-resolution files and the image licence will normally be released after full payment unless another arrangement has been agreed in writing.
Where written permission is given for use before payment, that permission may be withdrawn if payment is not received by the agreed due date.
For qualifying business-to-business invoices, Faydit Photography reserves the right to claim statutory interest and permitted debt-recovery costs on overdue payments.
UK rules currently allow statutory interest and fixed recovery costs to be claimed on qualifying late commercial payments.
File storage
The client is responsible for downloading, checking and securely backing up the delivered files.
Faydit Photography normally retains a copy of the delivered final images for two years, but this is not a permanent archive and continued availability cannot be guaranteed.
Retrieving and resupplying archived files may incur a reasonable administration charge.
Illness, equipment failure and circumstances beyond control
Faydit Photography will take reasonable care when photographing, storing and delivering the images.
If an assignment cannot proceed because of illness, serious equipment failure or another circumstance beyond Faydit Photography’s reasonable control, the first option will be to agree a replacement date.
If rescheduling is not reasonably possible, any payment relating to work that has not been provided will be refunded.
If photographs are irretrievably lost or damaged before delivery, Faydit Photography will, where practical, offer a reshoot or refund the fee relating to the affected work.
Neither party will be responsible for delay or failure caused by circumstances beyond its reasonable control, including severe weather, transport disruption, venue closure, power failure, serious illness or government restrictions.
Liability
Nothing in these terms excludes or limits liability for:
death or personal injury caused by negligence
fraud or fraudulent misrepresentation
any liability that cannot legally be excluded
Subject to those exceptions, Faydit Photography’s total liability relating to an assignment will not exceed the photography fees paid or payable for that assignment.
Faydit Photography will not be responsible for indirect or consequential loss, loss of profit, loss of business, inaccurate client instructions, or claims arising from materials, people or permissions controlled by the client.
The client remains responsible for checking that the delivered images and any accompanying information are suitable and accurate before publication.
Contractual exclusions and limitations of liability between businesses may be subject to a legal test of reasonableness, which is why this clause preserves liabilities that cannot lawfully be excluded.
Confidentiality
Faydit Photography will keep confidential information received for an assignment private and will use it only as reasonably necessary to complete the work.
Information may be shared with an assistant, retoucher, supplier or professional adviser where necessary, provided that it remains confidential.
General terms
The quotation, booking confirmation, agreed brief and these terms together form the agreement between the client and Faydit Photography.
Changes to the assignment or these terms must be confirmed in writing.
Both parties will first try to resolve any disagreement promptly and reasonably.
If any part of these terms is found to be invalid or unenforceable, the remaining terms will continue to apply.
The agreement is governed by the law of England and Wales. The courts of England and Wales will have jurisdiction.
